Because a PDF does not contain a layout, it contains instructions for painting glyphs at coordinates. Word needs paragraphs, styles and tables, so the conversion has to infer them. Straightforward documents come out close to perfect; heavy columns, sidebars and complex tables are where the guessing shows.
A scan is a picture of a page, with no text in the file at all. You will get a .docx containing that image rather than editable words. If the PDF was made by exporting from a word processor it has real text and converts properly — you can tell by trying to select a sentence in your PDF reader.
